CONTRACTURAL AGREEMENTS

There are different contractural agreements for Administrators and Resellers.

ADMINISTRATOR Contractural Agreement

The business relationship between Standish Company LLC and an Administrator has the following characteristics:

  1. Administrators, as contractors, are self-employed. There are no work hours, and no quotas.
  2. If an administrator earns more than USD $600 per year and is a US citizen, he will receive a 1099 tax form from Standish Sites, as per US tax law.
  3. Administrators are free to offer Standish Sites services on their websites, in person, or via any other venue, such as social media, as long as the rules for administrators (see below) are followed.
  4. Administrators are paid a percentage of hosting and a percentage of page design and maintenance services.
  5. Payment for services is done by the customer via a payment page in the Standish Sites control panel, or through a payment link received by the customer by email.
  6. Standish Sites services are prepaid, similar to a prepaid cell phone service. Hosting services, plus any other recurring charges for page maintenance, are deducted from the customer account on a daily basis.
  7. Standish Sites customers tend to prepay hosting several months or a year in advance. Administrators, on the other hand, receive their percentage of payments in a lump sum, not as daily small amounts. This means that administrators will have received their full compensation before the customer's payment has been deducted. (This is refered to in this agreement as "advance payment.") Therefore, if a customer requests a refund for unused prepayment and it is granted by the owner(s), the administrator agrees to pay his part of the refund from future earnings.
RULES FOR ADMINISTRATORS
(Does not apply to resellers, see Rules for Resellers below)
  1. Administrators agree to do their best to provide high quality service to their customers, providing prompt attention to customer requests
  2. Administrators will not lie to or mislead customers in any way, either through website information or verbal promises or assurances
  3. Administrators will also be honest and forthright with the business owner(s). This includes (but it not limited to) the following cases:
    • When charging for hosting or design work, administrators will adhere to any price limits established by the owner(s).
    • Administrators will not circumvent the Standish Sites payment system (payment page) by offering to receive money from their customers outside the payment system.
  4. Administrators will attempt to ensure that hosted web content published by their customers is legal according to the laws of the United States. However, the responsability for illegal content is borne by the customer.

Violation of points 1-3 above, or other similar violations of trust, may be grounds for dismissal as an administrator.

RESELLER Contractural Agreement

In this business relationship, the administrator need not comply with the Rules for Administrators above. He need only comply with the Customer Terms of Service, and the following Rules for Resellers:

RULES FOR RESELLERS
  1. The Reseller must not allow his customers to access the Standish Sites control panel
  2. The Reseller will keep all his customer websites under a single, regular customer account.
  3. As far as Standish Sites is concerned, the Reseller is the sole customer. He must ensure that all sites adhere to the Customer Terms of Service.

Violation of points 1 and 3 above may be grounds for dismissal as an reseller.


TERMINATION
  • Administrators and Resellers may decide to terminate their contractural agreement with Standish Sites at any time and for any reason, in writing (email).
  • Although an administrator receives lump sum "advance payment" for hosting services prior to the customer receiving services paid, upon terminating the agreement, the administrator will not be obligated to reimburse to Standish Sites the unearned portion of the advance payment.
  • The owners may terminate an Administrator account due to violation of any of the Rules for Administrators (see above).
  • The owners may terminate a Reseller account due to violation of any of the Rules for Resellers or the Customer Terms of Service.
  • The owners may also terminate administrator and reseller accounts due to events outside of our control.
